I. Travel Advisor, Group Travel, and Meeting Sourcing Services

EJP Events LLC and d/b/a Travel Romantics, Married at the Mountain

Thank you for your interest in holding an event or meeting with EJP Events! The following terms and conditions apply to our handling of your information and data; and how you (the “Client” or “Requestor”) and EJP Events (the “Event Planner,” “Travel Agent,” or “Travel Advisor”) work together prior to any event contract. Should you choose to enter an event contract with EJP Events, those terms and conditions outlined in your contract will supersede anything here.

By filling out an inquiry form, you are requesting that the Event Planner/Travel Agent contact you. Depending on the information you share, EJP Events may also contact you with suggestions for event design, venue choices, locations for your meeting, and other helpful information that may help you make a decision. You are under NO OBLIGATION to use any venue or vendor we recommend, and there is NO COST to you for the suggestions we may offer during this pre-contract consultation period.

1. Advisory Capacity and Supplier Relationships

If your event request includes a request for information about travel services, lodging, or sleeping rooms, you grant permission for us to research availability and rates on your behalf, as a travel agent. While certain levels of this service are complimentary (free of charge) to you, should you book with one of the hotels, airlines, or lodging properties we suggest, EJP Events may receive a commission or other travel agent/meeting planner perquisite from the property or carrier, such as loyalty points.

EJP Events acts in an advisory capacity only and does not own or manage any travel product or property that may be recommended to you. You, the Client, understand that EJP Events and its employees and contractors, or any related entities, are not the source or supplier of the travel services you have requested, and act solely as an agent for the actual suppliers of such services. You have been advised that the suppliers whose names appear in the information supplied to you, such as air carriers, cruise companies, ground transportation providers, hotels, and venues, are those who are actually responsible for providing the travel and event services you may purchase.

You consent to and request the use of those suppliers and agree not to hold EJP Events responsible should any of these suppliers: 1) fail to provide the travel services you have purchased; 2) fail to comply with any applicable law; or 3) engage in any negligent act or omission that causes you any sort of injury, damage, delay, or inconvenience.

2. TSA Secure Flight Program

The Transportation Security Administration (TSA) requires you to provide your full name, date of birth, and gender for the purpose of watch list screening, under the authority of 49 U.S.C. section 114, the Intelligence Reform and Terrorism Prevention Act of 2004, and 49 C.F.R. parts 1540 and 1560. You may also provide your Redress Number (from the Department of Homeland Security Traveler Redress Inquiry Program), if available.

Failure to provide your full name, date of birth, and gender may result in denial of transport or denial of authority to enter the boarding area. TSA may share information you provide with law enforcement or intelligence agencies or others under its published system of records notice. For more information on TSA privacy policies, please visit www.tsa.gov.

3. Government-Issued Identification

The Transportation Security Administration requires all travelers to carry a government-issued identification card in order to board a flight. The name, date of birth, and gender that appears on your identification must exactly match the same data listed on your airline ticket and in your booking records. Failure to strictly comply with these requirements may result in denied boarding or delays at airport security checkpoints that could cause you to miss your flight.

EJP Events is not responsible for denied boarding, delays, or additional costs incurred due to name discrepancies, misspellings, or failure to present valid identification. It is the traveler’s responsibility to verify that all information provided to EJP Events for booking purposes is accurate and matches their travel documents exactly.

4. Passport, Visa, and Entry Requirements

EJP Events is not responsible for the issuance of travel identification documents such as passports and/or visas. Travelers should ensure they have, or have been approved for, the appropriate documents before purchasing travel.

If traveling internationally, you must have a valid passport. Depending upon your destination, nationality, and immigration status, you may also need to obtain one or more visas or travel authorizations (such as ESTA for the United States). It is your responsibility to verify entry requirements with the appropriate government authorities.

For United States Travel:

  • Canadian citizens require a valid passport for air travel to the United States (Enhanced Driver’s Licenses are not accepted for air travel).
  • Citizens of Visa Waiver Program countries must obtain ESTA authorization prior to travel.
  • Non-US citizens should verify their visa and entry requirements with US Customs and Border Protection (www.cbp.gov).
  • US passport and visa information may be obtained from the US State Department at travel.state.gov.

EJP Events is not responsible for denied boarding, entry refusal, deportation, or any costs or consequences arising from a traveler’s failure to obtain proper travel documentation.

5. Travel Insurance

EJP Events strongly recommends the purchase of travel insurance to cover certain risks inherent in travel, including but not limited to: supplier bankruptcy, trip cancellation, trip interruption, travel delays, medical emergencies, lost or delayed baggage, and the inability to travel due to unforeseen circumstances.

EJP Events is an authorized reseller of travel insurance through Allianz Partners and can provide quotes upon request. If you choose not to purchase travel insurance, or if you purchase travel insurance on your own (not through EJP Events), you acknowledge that you are assuming any financial loss associated with your travel that would otherwise have been covered by such insurance.

By proceeding with a booking through EJP Events, you confirm that travel insurance has been offered to you and that you have either accepted or declined coverage.

6. Pricing, Payment, and Post-Purchase Adjustments

All quoted travel prices are subject to change and are based on availability. Prices are not guaranteed until payment is received and tickets are issued.

The airline tickets, tours, or other travel products you purchase may be subject to supplemental price increases imposed after the date of purchase. Post-purchase price increases may be applied due to additional costs imposed by a supplier or government entity, including but not limited to: fuel surcharges, taxes, fees, and fluctuations in foreign exchange markets. You acknowledge that you may be charged additional amounts to offset such increased costs and authorize EJP Events to charge your form of payment for such amounts after notification.

All amounts are quoted and payable in US Dollars (USD). Any currency conversion costs or exchange rate fluctuations are the responsibility of the Client.

Payment Method Recommendation: EJP Events recommends using a credit card for travel purchases, as this form of payment may offer you the opportunity to dispute charges should a supplier cease operating or fail to deliver services. EJP Events does not recommend paying for travel by cash, check, wire transfer, or debit card.

7. Changes, Cancellations, and Fare Restrictions

You agree to review your travel documents for accuracy upon receipt and understand that you may contact EJP Events if you have any questions. You understand that discounted fares typically involve restrictions and that changing any aspect of your travel arrangements may result in the payment of additional fees. Conversely, cancellation of any aspect of your travel arrangements may result in financial penalties, in accordance with the supplier’s fare rules and cancellation policies.

EJP Events service fees for booking and change processing are separate from, and in addition to, any fees imposed by airlines or other suppliers. EJP Events service fees are non-refundable once services have been rendered.

8. Limitation of Liability

You accept that EJP Events is not responsible for, nor will you attempt to hold EJP Events liable for, any injury, damage, or loss you may suffer on account of any conditions, actions, or omissions that are beyond EJP Events’ reasonable control. This includes, but is not limited to: acts of God, weather, natural disasters, war, terrorism, civil unrest, government actions, pandemics, epidemics, airline schedule changes, flight cancellations, delays, denied boarding, lost or damaged baggage, supplier bankruptcy, or any act or omission of a third-party supplier.

You agree that EJP Events’ liability is limited to the amount paid to EJP Events by you for travel advisory services (service fees). This limitation does not include amounts paid directly to airlines or other suppliers for airfare, accommodations, or other travel products.

You agree that these terms apply to you and your entire traveling party.

9. Dispute Resolution and Governing Law

In the event of any disputes arising from or related to services provided by EJP Events, such disputes shall be governed by the laws of the State of Oregon, USA, and may only be litigated in the courts of Multnomah County, Oregon. The non-prevailing party shall be responsible for any judgment awarded plus reimbursement of all reasonable attorney’s fees of the prevailing party.

10. Privacy and Data Protection

EJP Events collects personal information (including names, dates of birth, gender, passport numbers, and payment information) solely for the purpose of providing travel booking and advisory services. This information is shared with airlines, hotels, and other travel suppliers as necessary to complete your reservations, and with government agencies as required by law (including TSA Secure Flight requirements).

EJP Events collects only the personal information necessary to provide the services you have requested, and only for the purposes identified at the time of collection. We use secure, PCI-compliant systems for collecting and processing payment information. Your information is used and disclosed only for the purposes for which it was collected, is not sold or shared for marketing purposes, and is retained only as long as necessary to provide services and comply with legal requirements. We take reasonable steps to ensure your information is accurate and up to date. You have the right to access your personal information held by EJP Events and to request corrections. II. Event and Meeting Planning Services by EJP Events

Dates of Event. EJP Events understands that the event date is as stated on the proforma invoice. In-person staffing before and after these dates, other than official rehearsals and services explicitly outlined in your Scope and Fees document, is not guaranteed and must be arranged for in advance. In addition, any and all obligation of EJP Events to act in the capacity of Client’s event planner / representative, whether as an event host, office administration, vendor liaison for billing requests or otherwise, will terminate once the last event on your Event Timeline / Run of Show completes, or 30 days after the last on-site date of your event, whichever is earlier, unless an hourly-rate Event Management Contract is in effect.

 

Fees, billing, and travel charges.  All travel is included within a 30-mile radius of EJP Events. Additional mileage will be billed at the current IRS rate. In certain cases, a travel and logistics fee is required to ensure the safety of event staff, and also to maintain quality of service. If staff lodging is quoted, the Client will provide or reimburse lodging for all EJP Events staff at the same venue as the event, or within a 10-minute drive to the event site for each night preceding a staff work day, as well as the final night after the event.  Fees for travel, lodging, and logistics will be included under “Production and Logistics Fee” in your invoice. Should the actual cost of travel exceed the quoted fee due to reasons beyond EJP Events’s control, client will be notified and the difference will be updated on your final invoice.

Work on this project shall not begin until both a signed copy of this contract and first payment are received. If any of the payments are not received on the due date, we reserve the right to suspend or cease work on your event. This system will send you a reminder of payments due along with a printable invoice. Payments are due on the contracted dates, regardless of administrative preference for the appearance or delivery of an invoice.

 

Risk of Loss. As with any business model, using events to create a revenue stream bears inherent risks. EJP Events LLC provides a sample initial budget based on past events across many different industries and your event may model differently. EJP Events LLC cannot guarantee any specific level of gross or net income resulting from an event. Event planning services are not a substitute for Client’s normal marketing, revenue generation, or business development efforts. You understand that EJP Events does not provide prospecting, listbuilding, or fundraising services except for the follow-up and fulfillment services to your provided lists, as detailed in your Scope of Work. Clients should use due diligence in evaluating the risks and benefits of holding an event; carry appropriate event insurance to protect against unforeseen circumstances that would affect attendance, sponsorship, or any other revenue-generating element; should review the periodic financial reports provided by the event planner and registration software; and make adjustments to strategy as necessary based on regular reports, during the planning of an event.

 

Master Account. Client may elect to set up a Master Account based on a credit card or check deposit for incidental charges. If no Master Account payment information is on file for your event, and there is an outstanding balance, incidental charges are incurred, or if any third-party vendors request payment on the day of your event, Client or Client’s Representative will be asked to present payment in person at the event.

 

Exclusions and Additional Charges Not Included in Event Planning. EJP Events quotes regular staffing rates  for Administrative and Labor as well as On-Site Management and Lead Planning Staff. Should you increase the aforementioned numbers or tasks after your Production and Logistics estimate has been finalized, additional fees shall apply at overtime rates. The overtime rate is also charged for events beginning before 8:00 am; ending after 10:00 pm; or event days lasting longer than nine hours. Services such as production labor, AV team, drayage, busing tables, trash and recycling hauling, flower arranging, and other duties normally handled by vendors or service staff, floral/rental setup or teardown staff, or janitorial staff, are additional incidental charges; and are not included in the event planner fee. Likewise, products and materials needed for your event are also not included in the event planning fee. Please request a Production and Logistics menu for a list of commonly-added services. A 5% processing fee will be added if you ask EJP Events to purchase items or services for you and you then reimburse us using a credit card, to cover transaction fees incurred by EJP Events.

 

Planner’s Role. Our role will be that of advisor, and we will present you with options for the above tasks and services.  You will make the actual selections, sign contracts with, and pay your service providers, then we will implement and plan your selection during the stages you have booked in your event planning contract. EJP Events cannot sign contracts on your behalf, nor pay for your vendors and venues. Most venues and vendors require a signed contract and payment in order to confirm. Time is of the essence. EJP Events is not responsible for the failure to: 1) secure a venue or vendor, 2) to lock in pricing, or 3) obtain goods and services, due to lack of a signed vendor contract or lack of payments that were due from the client. Please inform your vendors that you are working with EJP Events.

 

Communication. We will meet on a regular basis to be scheduled at Client and EJP Events’ mutual convenience and as described in your invoice and/or scope document. Our primary modes of communication are email, phone, and through the apps we use: Honeybook, Asana, and Timeline Genius. Texting and direct messaging may be set up for specific hours related to being on site at your event, but are not used outside of those times, and are not used for the ongoing event planning process. Please allow 1-2 days for emails to be answered; and longer for complex requests such as custom reports or vendor comparisons. To prioritize a request, please phone our office at (503) 284-6756 or use our scheduler to set up a time to focus on your concern.

 

Permits. It is the Client’s responsibility to apply for and pay fees for all permits or licenses required by local, county, state, or federal law, to hold the event. Some examples of commonly-required permits are: Special Use of a Public Park Permit, Tent Permit, Propane Permit, Street Closure Permit, and Fire Marshal Permit. This is not a comprehensive list, and not all permits are required for every event. EJP Events staff can assist you in finding out if a permit is required for your event, and assist you in providing the information required; however, the final responsibility for acquiring a permit rests with the Client. EJP Events is not responsible for restrictions or changes to your event, or citations you may receive, due to failure to secure needed permits.

 

Outdoor Events. Should Client choose an outdoor event site, an indoor Weather Plan for extreme heat or cold, and for wet or inclement weather must be chosen. This Weather Plan must have sufficient space to accommodate all event sites if there are multiple events such as ceremony, cocktail hour, dinner, and dancing. Weather Plans without sufficient space may be required to combine events (such as having a wedding ceremony with guests seated at dining tables). If events are held outdoors, EJP Events will make suggestions based on weather forecasts, but Client should be aware that individual guest comfort levels will vary, and that a good host will anticipate and accommodate different levels of comfort with the outdoors. Note that outdoor locations often do not comply with the federal Americans with Disabilities Act.

 

Use of Recommended Vendors. Our staff works to research and recommend vendors that are responsive, provide excellent customer service, and have the ability and experience to service your event. EJP Events will provide Client with a vendor list designed to match Client’s event design, style, and budget. You are not required to use our recommended vendors, however, should you choose to go “off-list”, the following will apply:

– Initial communication with the off-list vendor will be the Client’s responsibility until a copy of  vendor contract is obtained. Client must obtain Vendor’s agreement to work with EJP Events during the planning process and to treat EJP Events as an authorized liaison of the Client.
– EJP Events will not “track down” unresponsive, off-list vendors on behalf of the Client, but will instead recommend a suitable alternative from our list.
– Client will provide EJP Events with a copy of the fully executed agreement with the off-list vendor no later than one month prior to the event. If the off-list vendor is a venue or caterer, we ask for a copy of the agreement no later than six months prior to the event.
– Off-list vendors may be required to provide proof of insurance and any required licenses and certifications pertaining to their field (OLCC certification for bartenders, Food Handlers Card for caterers, liability insurance for decorators and DJs, etc.), at their own expense.

 

One Point of Contact. While we recognize that events can have a team, committee, or a family decision-making approach, EJP Events requires one point of contact to authorize the following processes:

– Review and approval of proposed budgets, and budget changes.
– Review and approve choices from the Recommended Vendor List
– Approval of vendor quotes, design briefs, or design renderings
– Signing of vendor contracts
– Approval of the final Event Plan that is distributed to event staff
– Any change to vendor contracts or orders that increases cost.

Client certifies that the Client Name on this proposal as signatory is the One Point of Contact for this event, or Client will designate the One Point of Contact for their event in writing.

 

Creative License. Client acknowledges that unforeseen circumstances during their event may arise, where EJP Events Staff may employ their expertise and creative license to come up with solutions or changes on-site, in order to ensure a smoothly running event. Client agrees to accept reasonable, minor stylistic or aesthetic, deviations from the event plan, that do not affect overall cost.

 

Event Plan Deadlines. Client agrees to make decisions and transmit information to EJP Events staff in a timely and reasonable manner in order that their event information is sent in time for all vendor partners and staff members to review and understand it prior to the event. In addition, if EJP Events is hired to produce any physical items, all instructions, files, designs, etc; must be transmitted to EJP Events by 30 days prior to the event.

Information and changes after these dates will be accepted, but may incur additional costs from vendors; may result in substitutions; or may affect the ability for EJP Events staff to produce and transmit an Event Plan to all vendor partners prior to the event.

 

Use of Live Animals At Events. Should your special event require the use of live animals, they must be accompanied by an accredited or certified animal trainer/handler who specializes in the care of that animal species. EJP Events requires the contact information for the animal trainer or handler, and a list of how many and what type animals will be used, 30 days prior to your event.  Client agrees that health and safety is of paramount importance, and that the use of Live Animals at an event may be cancelled at any time by EJP Events staff or the event venue staff, if there are any issues with guest safety or animal welfare.

 

Affiliates and Coupon Codes. EJP Events may be offered by affiliate shopping sites: coupon codes, sale links, and other specials, which Client or Client’s guests can use for reduced cost on event products or services. EJP Events may be paid a commission for offering you these codes or sale links. In all cases, these links are provided only as a convenience, Client is under no obligation to use such services, and the use of affiliate codes or links does not increase Client’s cost over what a non-affiliate user would pay. EJP Events reserves the right to place these links on any event website that you ask us to create for you, unless Client has directed us otherwise. In addition, such products and services will not be recommended to you unless they fit the event design and budget criteria you set.

 

Travel Agent Services and Commissions. EJP Events is a member of International Air and Travel Agent Network (IATAN), holding IATA #38531356. Client understands that, as a Travel Agent handling individual and/or group bookings for the Client, EJP Events must undertake research and site visits — work over and above the actual planning of the event — in order to make appropriate recommendations for Client’s venue and travel arrangements. The cost of venue sourcing work, and for booking services such as hotel room blocks, flights, restaurant reservations, or other travel-related arrangements, is recouped by allowing the planner to receive commission, points, and rebates on your booking. Commission packages vary by location and situation, and may consist of percentage payments, rebates from tourism organizations such as Convention and Visitor Bureaus (example: Travel Portland, Travel Oregon), or other perquisites such as Meeting Planner Points or Loyalty Points from a specific brand (examples: Hilton Honors Points, Marriott Bonvoy Points, IHG Rewards); or a combination of these and other remunerations. Should you request that EJP Events book hotel sleeping rooms, travel services, restaurant reservations, or other Travel Agent Services, the hotel you choose, or another related entity, such as a Tourism Authority or Destination Management Organization, may elect to pay EJP Events a commission, rebate, or points resulting from the sale of your booking, after your event is completed. If your event is eligible for commissionable rates or planner loyalty points, you agree that EJP Events may book group lodging, transport, and restaurant reservations on your or your Guests’ behalf at your request, and that EJP Events is allowed to receive the commission, rebates, and loyalty points related to your event. In all cases, these commissions do not influence the referral or choice of hotel, travel service, or reservation type for your event. These referrals and choices are determined only by the criteria set by the Client.

 

No Employer/Employee Relationship. EJP Events is an independent contractor and is not an Employee of the Client. Client shall have no responsibility towards EJP Events or its staff for the purpose of workers compensation insurance; nor for income tax withholding, or any other taxes. EJP Events shall retain the right to do business as an independent contractor, contract and substitute staff freely, maintain its own tools and workplace, and set hours for work, including client meeting times. No agency, partnership, joint venture, regular work schedule, or employment relationship is created between the parties as a result of this Agreement. Neither party is authorized to create any obligation, express or implied, on behalf of the other party, to exercise any control over the other party’s methods of operation.

 

Work Hours, After-Hours and Early Start Events. Pursuant to the above Independent Contractor relationship, Client is not given exclusive or intensive use of the resources or staff, or work hours of EJP Events, except to specifically fulfill the services outlined in the contract, and during the hours of your event. Our business hours are Monday through Friday, 8:00 am – 5:00 pm Pacific Time (and until 6pm Wednesdays). Staffing for: events beginning before 8:00 am; ending after 10:00 pm; or  event days lasting longer than nine hours, will be addressed and subject to Production and Logistics fees and policies. When not booked for events, we observe all state and federal holiday closures.

 

Compliance with Laws. EJP Events’ staff abides by all Federal, State, and county/local laws and ordinances, including alcohol control laws and public health guidelines. EJP Events reserves the right to suspend or terminate services without refund, and depart your event, if we determine your event is in violation of any law or ordinance, or if our staff are physically harassed, threatened, or placed in any hazardous or illegal situation at your event.

 

COVID-19. The spread of COVID-19 and other communicable diseases such as influenza and RSV, are known public health issues. While EJP Events can verify and guarantee the vaccination, testing status, and sick backup for our own employees, to do so for vendors and independent contractors / production labor staff may not be possible. Please let us know before signing a contract if you will require a health protocol more stringent than what is mandated by the jurisdiction of your event. To do so may incur additional costs.

 

Cancellation. Either one of us may dissolve this contract at will. Written, emailed, or notice given via the Honeybook interface, is required to cancel a contract. Client acknowledges that upon signing an event planning contract, EJP Events will reserve time and staff to plan your event and will turn down other business opportunities in order to work on your event. If Client cancels, EJP Events will suffer a loss of indeterminate amount. Therefore, if you cancel, you will not receive a refund of the retainers or fees already paid, but will not be responsible for any unpaid portion of the event planning. EJP Events will consider these pre-event payments as a compensation for any loss incurred from cancellation, and no further damages would be pursued. Except as detailed in the Rescheduling clause below; any change of event date or an event postponement will be considered to be a cancellation, and a new contract and retainer will be required to engage our services for a new date.

In the unlikely event that EJP Events cancels your contract, you will receive a prorated refund of any fees you have paid based on the following dates, whichever is earliest:

– Cancellation before 30 days past contract signing: 100% of fees paid to EJP Events will be refunded.

– Cancellation 31 days past contract signing and 90 days before the event: 50% of fees paid to EJP Events will be refunded.

– Cancellation on or after 89 days before the event: No refunds will be provided, but we will work to find an appropriate replacement for any day-of services we would provide, and send all current planning to that replacement.

In the unlikely event that your scheduled coordinator is unable to perform due to severe illness,  illness requiring quarantine, or personal emergency, we will substitute another coordinator to perform the tasks outlined in your contract, at no reduction of fee.

 

Force Majeure. If an act of God, such as a fire, flood, earthquake, government-ordered restriction, travel restriction, pandemic, quarantine, or other occurrence beyond the control of either the Client or EJP Events should make it impossible to provide the services at your event as detailed above, the above cancellation policy will apply. Likewise, if such an act causes us or one of our recommended suppliers to be unable to provide the agreed-to service, you will not be required by us to pay for the service, but will not hold us liable.

 

Limitation of Liability. Although we work with and will recommend thoroughly competent professionals for various aspects of your event, we will not be held liable for any errors, acts or omissions on their part. You will not hold us liable or responsible for problems arising from third parties external to the planner-Client working relationship, including but not limited to technology, email, or software providers. EJP Events publishes an Event Plan and it is Client’s responsibility to communicate the Event Plan with external event party members, and anyone not named on the Event Plan Contact List. In addition, while EJP Events will make every effort to assist in and mitigate emergencies due to forgotten items, you will not hold us responsible for the procurement of event items which should be purchased by the Client. You agree that EJP Events’ liability in this contract is limited to the amount of the fee paid for event planning services rendered. You, the client, and not EJP Events, are fully responsible for breakage, damage, or loss related to your event, including rental equipment. Any bills received by EJP Events for venue damage, lost or broken rental items, or any other post-event billing from a vendor, will be the responsibility of the Client. Additional waiver of liability, including pandemic-related liability, may be required depending on the activities and locations in your final event plan and your event date. If required, these waivers will be sent to you prior to your event, and will need to be signed and returned prior to any EJP Events staff being present for your event.

 

Client’s Property. EJP Events is not responsible for Client personal property once your event or meeting has concluded. Examples of Client property are decorations, signage, perishables such as leftover food and beverages; event materials, clothing, and/or packages. Client should make arrangements for property to be removed from the event venue, once the planning team has ended their work shift. You may request that EJP Events staff make these arrangements; however, there may be additional Production and Logistics fees for this service, if it was not originally discussed or accounted for in your Event Plan.

 

Rescheduling. If, due to Force Majeure, it becomes impossible to hold your event on the original date, you may reschedule your event with EJP Events a total of one (1) time, within one (1) year of your original event date with no rescheduling charge nor additional fees. The rescheduled date must be chosen by mutual agreement between the client and EJP Events, and an Amendment to this Contract must be signed by both parties to show the new date. If a mutually-agreeable date cannot be found between the date of Client notifying EJP Events of the need to reschedule and one (1) year after the original event date, EJP Events will consider this event to be cancelled by the Client, and the above Cancellation policy will apply.

If the event is rescheduled more than once, and/or for more than one (1) year past the original event date, OR within one year but for reasons other than Force Majeure, a Rescheduling Fee equal to 20% of the original total proposal fee will be due at the time the new contract is written, each time rescheduling occurs. Retainer funds paid to EJP Events prior to the rescheduling will be kept by EJP Events and applied according to the most current version of the signed contract and cancellation policy. Payments scheduled as due will still be due on the original dates unless a correct rescheduling is made according to the above procedures. Failure to make a scheduled or rescheduled payment will release EJP Events from any responsibility to provide further services. EJP Events is not responsible for rescheduling or cancellation fees or policies of other vendors or third parties.

The Rescheduling clause is applicable once a Client’s event has a confirmed date.

 

Social Media. Clients grant to EJP Events and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish social media updates (including photographs and video) related to, and of, Client’s events for editorial, trade, advertising, art, and any other purpose and in any manner and medium; to alter the same without restriction; and to use Client’s name or initials in connection therewith. Clients release EJP Events and its legal representatives and assigns from all claims and liability relating to said photographs and social media updates.

 

Dispute Resolution. The parties agree that the venue for any dispute arising under or in relation to this contract shall lie only in the City of Portland, Multnomah County, State of Oregon.  In the event of such a dispute, the non-prevailing party shall be responsible for any judgment awarded plus the reimbursement of all reasonable attorney’s fees of the prevailing party.

 

Entire Agreement/Severability. Contracts constitute an offer of services and may not be changed, annotated, or lined out without mutual agreement. If any portion of the contract is found to be unenforceable, the rest of the contract shall remain in effect. Services are sold as a package and Client’s decision to make partial use of package does not authorize a reduction in cost or partial payment.  Any changes must be submitted in writing as a separate contract and signed by all parties. Offers are good until the expiration date stated in the quote has passed; or until a first option has been declined. If not confirmed by a payment, any offer may be revoked at EJP Events’ discretion.
